(syllabus)
The course provides an overview of the fundamental economic-business aspects of corporate restructuring and reorganization processes, both when these processes originate from within corporate structures and when they are imposed by the economic and legal system in which they operate.
The course is divided into two parts.
The first part of the course is devoted to an in-depth study of the main extraordinary transactions used in corporate restructuring processes, with a focus on the fundamental strategic, regulatory, accounting and tax profiles.
The second part of the course focuses on the business and economic aspects of the main bankruptcy procedures and other tools for overcoming and/or managing crisis.
